Terms & Conditions for membership of the CLS Business Lounge

Introduction

Welcome to the Terms & Conditions for membership of the CLS Business Lounge. These terms are intended to provide our subscribers with a guideline for use of our services.

Your subscription contract is with Document Exchange Network GmbH (registered office: Ernst Bergmann Gasse 36, 1140 Vienna, Austria, Companies Register: FN 113959m, VAT no.: ATU 14653506, hereafter the “provider”).

CLS Commerce Logistics Specialists is a brand of Document Exchange Network GmbH.

Our subscriptions are subject to Austrian law and the exclusive jurisdiction of the Austrian courts.

Scope of subscription and membership

By subscribing you become a member of the CLS business lounge with access to the following services:

• Detailed monthly report (sent to the email address you provide)
• Ad-hoc news updates (sent to the email address you provide)
• A 30 minute one-to-one consultation (video call) per month with one of our experts

The monthly report is usually issued during the last week of each calendar month, but no later than the end of the first week of the following calendar month.

The monthly one-to-one consultation is scheduled according to mutual availability. We do our best to be flexible, and to schedule times which are most convenient for our members. Ideally, we will agree a fixed monthly time slot, although this may be changed at any time at the request of either party.

We may, at our discretion change, remove, suspend, or discontinue any aspect of our services at any time including the availability of any content.

Content, intellectual property rights

Our content, trademarks, copyright, patents, logos, domain names and other related intellectual property rights or other features of our brand belong to us or to our licensors. Your use of our services does not grant you any rights in and/or to our licensor’s intellectual property, whether for commercial or non-commercial use.

We grant our users a licence to access and use our services and intellectual property rights (subject to your ability to access our services as set out above) and to the following usage restrictions:

• Our services may only be used for internal purposes
• No content may be sold or commercially exploited
• Content may only be shared with third parties with our explicit permission

Third party content included as part of our services is licensed to you either under these terms of use, or through third party terms and conditions that will be made known to you as and when they become relevant.

We will always aim to provide you with the best possible service. However, our service is provided “as is” and we do not and cannot promise that all of the information provided in our services will always be 100% accurate. The content provided by our services is for information purposes only and does not constitute advice. All our services are provided without any warranties or guarantees.

Some of the information provided by our services is supplied to us by our third-party partners. We have no control over third party content, and we are unable to guarantee the accuracy of such third-party content. You agree that you access any content at your own risk. Before relying on any information, whether from us or from our third-party partners, we advise you to verify the accuracy of such information.

Liability

While we will do our best to ensure that our service is fully operational at all times, we are not responsible for and shall not be liable for any problems or temporary interruptions to your use of our services arising from factors outside our control (e.g., technical problems due to traffic congestion on the internet).

To the extent permissible by law, we are not responsible for any loss or damage resulting from the use of our services or from any content posted on or through our services.

You agree that to the extent permissible by law your sole and only remedy for any problems, issues or concerns with our service is to stop using our services, whether as a subscriber or as a visitor using one of our services.

How do I become a member?

To become a member of the CLS Business Lounge, please use our order form or email us at subscribe(AT)commerce-logistics.com.

You must be a legal entity and have the authority to enter into a contract with us, and not be prevented from doing so under any local laws.

By registering to become a subscriber, you agree to provide us with accurate registration details, including payment information, and that you will notify us of any subsequent changes to your contact information.

Membership begins with immediate effect and remains valid indefinitely. You may cancel your subscription at any time.

What does my subscription cost?

Membership of the CLS Business Lounge costs EUR 590 per month, plus the statutory value added tax.

Payment is monthly and paid in advance. You will be invoiced by email at the end of each calendar month for the following calendar month.

The payment period is 14 days.

We reserve the right to change the subscription price and/or benefits with 30 days’ notice and affected subscribers may terminate their subscription immediately.

If you default on any payment, we may:

• Terminate your subscription
• Send your details to third party debt collectors
• Take any action we may deem necessary to recover our losses

If your subscription has been terminated and you would like to re-subscribe at a later date, we reserve the right to require payment in full for any outstanding amount owed prior to renewing your subscription.

How can I cancel my subscription?

You may cancel your subscription at any time by sending an email to cancelsubscription(AT)@commerce-logistics.com with a request for cancellation or contact via using the contact form.

Please provide your name, address, date, and reason for cancelling (optional).

Your subscription will be terminated with immediate effect.

We reserve the right to terminate or restrict your use of our service if you violate these terms of use or are engaged in illegal or fraudulent use of the service.

Changes to our terms of use

We may amend these terms of use at any time to ensure that we remain compliant with relevant laws and regulations and to ensure that we are constantly improving your experience of using our services. Please ensure that you check these terms of use regularly. They are published on our website under Terms & Conditions. By continuing to use our services after any changes are made, you accept and are bound by those changes.
